As regulatory scrutiny of mergers intensifies across jurisdictions, navigating the pre-closing period without triggering gun-jumping concerns is more critical than ever. This panel will examine key red flags that companies must avoid to stay compliant. We will discuss uncertainty around whether to notify a transaction—particularly in deals involving technology or data-rich undertakings, where exceptions and new call-in powers create ambiguity; premature coordination of commercial activities and early integration of operations or management before closing; improper sharing of competitively sensitive information; etc. The discussion will provide a comparative perspective on the enforcement trends in the EU, Turkiye, UK,  and USA, and offer practical guidance for navigating cross-border mergers safely.
